TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern all services (“Services”) provided by General Counsel Support Services (“Seller,” “we,” “us”) to any customer or client (“Customer,” “you,” “your”). By placing an order, paying an invoice, signing a purchase order, or otherwise accepting Services from Seller, you agree to be bound by these Terms.

Scope of Services

The Services provided will be described in the relevant order, invoice, receipt, purchase order, or service confirmation. Any additional services outside the described scope require a separate agreement and may incur additional fees.

Independent Contractor

Seller performs Services as an independent contractor. Nothing in these Terms creates an employment, partnership, joint-venture, or agency relationship between you and Seller.

No Legal Advice / No Substitute for Attorney

Our Services are provided for general informational and business-support purposes only. They do not constitute legal advice, and you should not rely on them as a substitute for advice from a licensed attorney in your jurisdiction. Use of our Services does not create an attorney-client relationship.

Intellectual Property

Seller retains all rights in and to its business name, logo, trademarks, brand identity, and proprietary methods, including any tools, templates, processes, and know-how used to deliver the Services. All written work product that Seller specifically creates for Customer during the engagement (including letters, summaries, reports, and other documents prepared on Customer’s behalf) becomes Customer’s property upon payment, and Customer may use such work product for any lawful business purpose. Customer’s rights apply only to the final work product; they do not include ownership of Seller’s underlying materials, templates, drafting frameworks, research approaches, or other background content, nor do they grant Customer any right to use Seller’s name, logo, or brand without Seller’s prior written consent. Seller may reuse its knowledge, experience, and tools in its business and in providing services to other clients.

Payment Terms

Payment terms (amount, due date, method) will be as stated in the relevant order, invoice, or agreement. If not otherwise specified, payment is due 30 days from invoice date.

Seller may suspend or delay Services if payment is late or not received.

Warranty Disclaimer

To the maximum extent permitted by law, Seller provides Services “as is,” without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

If Seller offers a limited warranty in a specific engagement, that warranty will be documented in writing; otherwise, no warranty is implied.

Limitation of Liability & No Indemnification

To the fullest extent permitted by law:

  • Seller’s total liability for any claim arising out of or related to the Services is limited to the amount you paid for the relevant Services or $10,000 USD, whichever is lower.

  • Seller is not liable for any indirect, incidental, consequential, special or punitive damages, including lost profits, lost business, loss of data, business interruption, or loss of goodwill.

  • Seller does not agree to indemnify Customer or any third-party for any claims, losses, or damages.

If applicable law prohibits some or all of these limitations, they shall be applied only to the extent permitted.

Consumer Rights / Mandatory Protections

Nothing in these Terms is intended to waive or limit any non-waivable rights you may have under applicable consumer protection laws in your jurisdiction. Those statutory rights remain in force if and to the extent required by law.

Privacy

We collect and use personal information only to process orders, provide Services, and communicate with you. We do not sell or rent personal information.


By using our Services, you consent to our use of your information for these purposes and acknowledge that we may share data with trusted third-party service providers (e.g., payment processors, hosting providers) as necessary to deliver the Services.


We use reasonable safeguards to protect personal information, but no method of transmission or storage is completely secure. We make no guarantee of absolute data security.


You may have privacy or data-protection rights under applicable laws in your jurisdiction. Those rights will apply to the extent required by law.

Governing Law & Venue

These Terms are governed by the laws of the State of New Jersey. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the federal or state courts located in Hudson County, and you consent to personal jurisdiction and venue therein.

Changes to Terms

We may update these Terms at any time.  Your continued use of the Services after any update constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms, along with the relevant order, invoice, or service confirmation, constitute the entire agreement between you and Seller regarding the Services. They supersede and replace all prior and contemporaneous proposals, communications, or understandings (oral or written) relating to the Services.
